These terms of service ("terms") are a binding agreement between you and Outposter LLC ("Outposter", "we", "us", or "our") and govern your access to and use of the Outposter website, application, and related services (together, the "service"). Please read them carefully. If you do not agree to these terms, do not use the service.

1. Agreement to these terms

By accessing or using the service, or by clicking to accept these terms where that option is presented, you agree to be bound by them and by any policies referenced here, including our privacy policy. These terms apply to every visitor, user, and other person who accesses the service. If you are entering into these terms on behalf of a company or other legal entity, "you" also refers to that entity, and you represent that you have the authority to bind it.

2. The service

Outposter helps you plan, schedule, and automatically publish your LinkedIn posts from a single content calendar. You create and schedule content in advance, and the service publishes it to your connected LinkedIn account at the times you choose.

The service is offered as a closed, invite-only beta and currently supports LinkedIn only. Because it is a beta, features may change, be added, be removed, break, or be discontinued at any time, with or without notice. We may also impose or adjust limits on the use of the service. We do not guarantee that any particular feature will be offered in the future.

3. Eligibility

To use the service you must be at least 18 years old and able to form a legally binding contract under applicable law. By using the service, you represent and warrant that you meet these requirements. If you use the service on behalf of an organization, you further represent that you are authorized to accept these terms on that organization's behalf.

4. Accounts

To use most features of the service, you must create an account or be granted access. When you do, you agree to:

• Provide accurate, current, and complete information, and keep it up to date.
• Keep your login credentials confidential and secure, and not share them with others.
• Take responsibility for all activity that occurs under your account, whether or not you authorized it.
• Notify us promptly at hello@outposter.io if you suspect any unauthorized access to or use of your account.

We are not liable for any loss or damage arising from your failure to protect your account or credentials.

5. Connecting your LinkedIn account

To publish on your behalf, the service requires you to connect your LinkedIn account. By connecting it, you authorize Outposter to access your LinkedIn account and to publish the content you schedule, at the times you schedule it, using the permissions you grant.

• You are responsible for complying with LinkedIn's own terms of service, user agreement, and all applicable LinkedIn policies when using the service.
• Outposter is an independent product and is not affiliated with, sponsored by, or endorsed by LinkedIn. LinkedIn is a trademark of its respective owner.
• You may disconnect your LinkedIn account at any time. LinkedIn may also change, limit, or revoke the access that makes automatic publishing possible, and if it does, some or all of the service may stop working.

6. Acceptable use

You agree to use the service lawfully and responsibly. You will not, and will not permit anyone else to:

• Post or schedule content that is illegal, infringing, defamatory, deceptive, fraudulent, harassing, hateful, or otherwise abusive.
• Send spam or engage in bulk, repetitive, or misleading posting that violates applicable platform rules.
• Infringe the intellectual property, privacy, or other rights of any person or entity.
• Attempt to disrupt, overload, or interfere with the service or the servers and networks that support it.
• Reverse engineer, decompile, or attempt to extract the source code of the service, except to the extent that restriction is prohibited by law.
• Access the service, or attempt to access accounts, systems, or data, without authorization.
• Violate any applicable law, regulation, or the rules of any platform on which content is published.

7. Your content

You retain all ownership rights in the content you create, upload, or schedule through the service ("your content"). We do not claim ownership of it.

To operate the service, you grant Outposter a limited, non-exclusive, worldwide, royalty-free license to store, host, process, transmit, display, and publish your content solely for the purpose of providing and improving the service, including publishing it to your connected LinkedIn account as you direct. This license ends when your content is deleted or your account is closed, except where retention is required by law or for the limited period needed to complete removal from our systems.

You are solely responsible for your content and for ensuring that you have all rights, licenses, and permissions necessary to post it. You represent that your content and its publication do not violate these terms, any applicable law, or the rights of any third party.

8. Beta disclaimer

The service is provided during a closed beta on an "AS IS" and "AS AVAILABLE" basis. It is a work in progress and may contain bugs, errors, or incomplete features. We do not warrant or guarantee that the service will be available, uninterrupted, timely, secure, or error-free, or that scheduled posts will always publish successfully. We do not guarantee the retention, backup, or recovery of any data, and you are responsible for keeping your own copies of any content that matters to you.

9. Intellectual property

The service, including its software, design, text, graphics, logos, and the Outposter name and brand, is owned by Outposter LLC or its licensors and is protected by intellectual property and other laws. Except for the limited rights expressly granted to you in these terms, no rights, title, or interest in or to the service are transferred to you. You may not use our name, logos, or branding without our prior written permission.

10. Fees

The service is free to use during the closed beta. We may introduce paid plans or charge for some features in the future. If we do, we will provide advance notice and give you the opportunity to review the applicable pricing and terms before any charges apply. Your continued use of the service after a paid plan takes effect will be subject to those terms.

11. Termination

You may stop using the service and close your account at any time. We may suspend or terminate your access to the service at any time, with or without notice, including if we believe you have violated these terms, if required by law, or if we decide to discontinue the beta or the service.

Upon termination, your right to use the service ends immediately. Any provisions that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnification, and governing law — will survive.

12. Disclaimers of warranties

To the maximum extent permitted by law, the service is provided without warranties of any kind, whether express, implied, or statutory. Outposter LLC specifically disclaims all implied warranties, including any warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the service will meet your requirements, be uninterrupted or error-free, or that any content will be published, retained, or delivered.

13. Limitation of liability

To the maximum extent permitted by law, Outposter LLC and its owners, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or relating to your use of, or inability to use, the service, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability for all claims relating to the service will not exceed the greater of the amounts you paid us for the service in the twelve months before the event giving rise to the claim, or one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless Outposter LLC and its owners, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your content, your use or misuse of the service, your violation of these terms, or your violation of any law or the rights of a third party, including LinkedIn's terms and policies.

15. Governing law

These terms and any dispute arising out of or relating to them or the service are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. You agree that any dispute will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

16. Changes to these terms

We may update these terms from time to time. When we make material changes, we will update the "last updated" date above and, where appropriate, provide additional notice. Your continued use of the service after changes take effect means you accept the revised terms. If you do not agree to the changes, you should stop using the service.
